Terms and Conditions

I) Introduction

SAS NEWMAN conducts its online sales business via the website www.uninterieur.com (and other extensions) and by email for bespoke or reserved furniture (hereinafter “the SELLER”). It is registered in the Montpellier Trade Register. Postal address: 13 ESPACE VIALA - ZA LES CLACHS - D613, 34560 POUSSAN, FRANCE. Email: [email protected]. Telephone: 04 34 33 31 47 (hereinafter “the SELLER’S ADDRESS”).

Any order placed on www.uninterieur.com (and other domains) or via a quotation, pro forma invoice or any other booking document sent by email implies prior consultation and acceptance of these general terms and conditions of sale. Clicking to confirm the order constitutes full acceptance and serves as a digital signature.

These general terms and conditions set out the rights and obligations of the parties in relation to the sale of goods offered by the SELLER to any person placing an order online or via a quotation, pro forma invoice or any other booking document sent by email (hereinafter “the CONSUMER”).

II) Order Confirmation

The contractual details are confirmed by email to the address provided by the CONSUMER at the time of ordering.

III) Proof of transaction

The computerised records, stored in the SELLER’s systems under reasonable security conditions, shall constitute proof of the communications, orders and payments made between the parties.

Purchase orders and invoices are archived on a reliable and durable medium that may be produced as evidence.

IV) Product information

Every effort is made to ensure the accuracy of the information provided. The SELLER or its suppliers shall not be held liable for any consequences, incidents or special damages resulting from electronic transmissions or the accuracy of the information, even if the SELLER has been informed of the possibility of such damages. Product and manufacturer names and trademarks are used for identification purposes. Photographs, descriptions, delivery times and prices are not binding.

V) Bespoke products

In the case of bespoke items, a maximum tolerance of 2mm per side is permitted on the manufactured item. To obtain a refund, compensation or replacement, the CONSUMER must provide photographs or evidence demonstrating that the 2mm tolerance has not been met.

In certain exceptional circumstances (customs checks, strikes, bad weather, force majeure), the stated production time may be extended. The CONSUMER will then be notified by telephone or email.

VI) Validity period of the offer and prices

Prices are guaranteed for the day.

VII) Payment terms

1) All orders are processed upon receipt of payment. In the case of payment by bank transfer, a processing/receipt time (usually 24 to 48 hours) is added to the dispatch time shown on the product pages.

2) Payment in 3, 4 or 10 instalments at no extra cost by credit card with our partner Floa.

A credit facility is a commitment and must be repaid. Please check your ability to repay before committing.

Our financial partner, Floa, offers you the option to finance your purchases of goods and/or services on credit. This credit solution is reserved for private individuals (natural persons of legal age) residing in France, who hold a Visa or MasterCard credit card with an expiry date more than 6 months after the date of purchase.

Example of a €1,000 purchase financed with a €1,000 instalment loan:

Down payment of €100 followed by 9 monthly instalments of €100. Fixed APR of 0%, fixed borrowing rate of 0%. Total amount payable by the borrower = €1,000, of which €0 is the cost of credit.

This is an illustrative example with no contractual value, calculated on the basis of a first instalment due 30 days after the date of financing. The final monthly payment may be higher or lower.

VIII) Delivery terms

Delivery to the address specified by the CONSUMER and only to areas within our delivery network. Indicative delivery times for furniture in stock: 5 working days in mainland France; 7 to 12 working days in Belgium, Luxembourg or the Netherlands. These times do not include the internal dispatch time mentioned on each product page.

The carrier will contact the CONSUMER the day before to arrange a delivery time. If the CONSUMER cannot be reached on two occasions within 10 days and following an attempted delivery without prior arrangement, the goods will be returned to the SELLER. A new shipment may be requested: a fixed charge of €75 (including VAT) per pallet for mainland France; in Belgium/Luxembourg/the Netherlands, 1.5 times the amount invoiced for the first delivery.

Delivery is made to the ground floor; the CONSUMER must arrange for the goods to be carried upstairs if necessary.

Products leave our premises in perfect condition. Any signs of damage must be reported to the carrier upon delivery to allow for compensation in the event of damage.

Any product reported as damaged after transport without a reservation being made upon receipt cannot be accepted.

In the event of delay or loss, an investigation will be opened with the carrier. If the product cannot be found, an identical replacement will be sent at our expense, or a refund will be issued if the product has been out of stock for more than 30 days and the CONSUMER requests it.

The SELLER accepts no liability for any delays attributable to the carrier (loss, bad weather, force majeure, strikes).

The offer of free delivery in mainland France applies to furniture sold online or via a pro forma invoice for a STANDARD item of furniture. It does not apply to bespoke items or to second deliveries following a return to the SELLER.

IX) Delivery issues caused by the carrier

Any irregularity (damage, missing item, damaged parcel, breakage, etc.) must be noted on the delivery note in the form of signed handwritten reservations.

The CONSUMER must confirm the issue to the carrier within 3 calendar days by registered post with acknowledgement of receipt and send a copy to the SELLER’S ADDRESS.

X) Delivery errors

Any claim regarding a delivery error and/or non-conformity (nature, quality) must be made to the SELLER within 3 calendar days of delivery. After this period, no claims will be accepted.

Returns must be notified in advance and accepted by the SELLER. Products to be exchanged or refunded must be complete, in their original packaging, in perfect condition, and sent to the SELLER’S ADDRESS. Postage costs are borne by the SELLER, unless the returned product does not correspond to the original description.

XI) Product warranty

The CONSUMER is covered by the statutory warranty against hidden defects. If the warranty applies and the product cannot be repaired or replaced, the price stated on the invoice will be refunded. Where the warranty applies, the cost of sending the new or repaired product shall be borne by the SELLER; otherwise, the cost of sending and returning the product shall be borne by the CONSUMER.

1) The warranty applies only if the defective product is presented within the warranty period, accompanied by the original invoice or receipt.

2) The SELLER may refuse to honour the free warranty if the documents are not presented, are incomplete or illegible, or if the model or serial number has been altered, erased or rendered illegible.

3) The warranty does not cover transport costs or risks associated with the outward and return journeys.

4) The warranty does not cover, in particular: a) normal wear and tear and routine maintenance; b) use not in accordance with normal private use; c) misuse, improper installation or maintenance, or failure to comply with applicable standards.

i) Repairs carried out or attempted by unauthorised third parties; ii) modifications or alterations without prior written consent; iii) negligence; iv) accidents, fire, liquids, chemicals, flooding, vibrations, excessive heat, inadequate ventilation, power surges, inadequate power supply, radiation, electrostatic discharge (including lightning) and other external causes.

The warranty cannot be extended.

XII) Right of withdrawal

The right of withdrawal applies to natural persons.

The CONSUMER has thirty-four (34) calendar days from receipt to inform the SELLER that a product is unsuitable and to return it. All returns must be notified in advance to customer services. The product is returned to the SELLER’S ADDRESS at the CONSUMER’s expense. As a reminder, the SELLER’S ADDRESS is 13 ESPACE VIALA - ZA LES CLACHS - D613, 34560 POUSSAN, FRANCE.

The right of withdrawal may be exercised via the withdrawal form or by registered post with acknowledgement of receipt sent to the SELLER’S ADDRESS.

The goods must be in perfect condition for resale and properly packaged. In accordance with Article L.121-20 of the French Consumer Code, the right of withdrawal does not apply to goods made to the CONSUMER’s specifications or clearly personalised.

Products sold in a finish other than “FURNITURE FINISH: UNFINISHED” or accompanied by an option added to the order are not eligible for withdrawal. Bespoke, significantly personalised furniture is not affected.

The following are therefore eligible: only products sold online, ordered with a “FURNITURE FINISH: UNFINISHED”, without any options, not made-to-measure and not sold to a legal entity.

Products must be returned complete, in their original, undamaged packaging and in perfect condition. Any product that is damaged or has damaged packaging will not be refunded, taken back or exchanged. The right of withdrawal may be exercised without penalty. Return costs are refunded up to the cost of the cheapest delivery method offered at the time of ordering. The CONSUMER may request a refund or an exchange.

If the right of withdrawal is exercised, the SELLER will refund the amount within three (3) days using the same payment method as that used when the order was placed. This period may be extended until the returned item is received in perfect condition for resale.

XIII) Rights of use

Any use or copying, in whole or in part, of elements on the website is strictly prohibited outside the private sphere.

XIV) Force majeure

Neither party shall be held liable if the performance of its obligations is delayed, hindered or prevented by a force majeure event: an irresistible, external, unforeseeable and unavoidable event beyond the control of the parties.

The affected party shall notify the other within ten working days of becoming aware of the event. The parties shall meet within three months (unless this is impossible due to the force majeure event) to examine the effects of the event and agree on the conditions for continuing the contract. If the force majeure event lasts for more than one month, the aggrieved party may terminate this agreement.

The following, in particular, shall be considered as force majeure: transport blockages, earthquakes, fires, storms, floods, lightning, telecommunications network outages or difficulties specific to networks external to the parties.

XV) Partial invalidity

If one or more provisions of these GTC are deemed invalid or declared as such pursuant to a law, regulation or final decision of a competent court, the remaining provisions shall remain in full force and effect.

XVI) Non-waiver

The fact that one of the parties does not rely on a breach by the other party of any of the obligations set out herein shall not be construed as a waiver of the obligation in question for the future.

XVII) Governing Law

These T&Cs are governed by French law and drafted in French. In the event of a dispute, the CONSUMER shall first contact the SELLER to seek an amicable resolution.

XVIII) Protection of personal data

The data provided to the SELLER is used for the processing of orders. In accordance with Law No. 78-17 of 6 January 1978, you have the right to rectify, access, amend and delete the data provided, which may be exercised online. The data will not be used for advertising purposes without your consent.

XIX) Disputes

Any order placed with the SELLER implies full and unconditional acceptance of these T&Cs. In the event of a sale to a legal entity, any dispute relating to the sale (price, T&Cs, products, etc.) shall be subject to French law and brought before the Commercial Court of Montpellier.
